01Agreement to these terms

These Terms and Conditions (“Terms”) are an agreement between you and Allyabl (“we,” “us”). They apply when you use www.allyabl.com, submit an application or inquiry, upload documents, or communicate with us by phone, email or text (together, the “Services”). By using the Services you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Services.

02What Allyabl does

Allyabl is a commercial financing advisory and arrangement company. We review your business’s needs and present your request to independent funding partners whose programs may fit.

• We are not a bank, and we do not make credit decisions. Each funding partner decides on its own whether to approve, and on what terms.
• Submitting an application does not guarantee an offer, approval or funding.
• Amounts, rates, fees, payments and terms are not final until set out in a written agreement between your business and the funding partner. That agreement, not our website or conversations, governs your financing.
• Where state law requires a commercial financing disclosure, the funding partner provides it before you sign.

03Who may use the Services

You must be at least 18, located in the United States, and authorized to act for the business you are applying for. The Services are for business purposes only — not for personal, family or household financing.

04Your information and authorizations

You agree that everything you give us is true, complete and current, and that you will tell us if it changes. When you sign our application you authorize Allyabl, its agents and its funding partners to:

• obtain business and personal credit reports and verify the information and documents you provide, now and periodically while your request or financing is active;
• contact banks, trade references and public sources to confirm details; and
• share your application and documents with funding partners to obtain financing on your behalf, as described in our Privacy Policy.

Providing false or misleading information may result in your request being declined and may be reported as required by law.

05How we are paid

There is no cost to apply. Allyabl is typically paid by the funding partner when a financing closes, and that compensation may vary by partner and product. If we ever charge your business a fee directly, we will tell you the amount in writing before you agree to it.

06Electronic signatures and records

You agree that we may provide disclosures, notices and records electronically, and that your electronic signature on our application or other documents is legally binding, the same as a handwritten signature, under the federal E-SIGN Act and applicable state law. You may ask for a paper copy of any document by emailing hello@allyabl.com.

07Calls, emails and text messages

By giving us your phone number and checking the consent box (or otherwise agreeing), you agree that Allyabl may call and text you at that number about your inquiry, application and offers, including with automated technology and prerecorded messages. You also agree to receive emails from us.

You confirm you are the subscriber or authorized user of the number you provide, and you will tell us if it changes. You can revoke consent at any reasonable time and in any reasonable way, including by replying STOP.

08Acceptable use

You agree not to misuse the Services — for example, by submitting information about a business you are not authorized to represent, uploading harmful files, trying to gain unauthorized access, scraping, or interfering with how the site works.

09Our content

The website, its text, design, logos and the Allyabl name are owned by Allyabl and protected by law. You may view and print pages for your own business use, but you may not copy, modify or redistribute them without our written permission.

10Information only — not advice

Content on our website and general guidance from our team are for information only and are not legal, tax, accounting or investment advice. Please consult your own advisors before making financial decisions.

11Funding partners and other websites

Funding partners are independent companies. We are not responsible for their decisions, products, agreements, servicing or websites. Your financing relationship is with the funding partner under its own agreement.

12Disclaimers

The Services are provided “as is” and “as available.” To the fullest extent allowed by law, Allyabl disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and does not promise that any financing will be available or that the site will be uninterrupted or error-free.

13Limitation of liability

To the fullest extent allowed by law, Allyabl will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits or lost business opportunities, arising from your use of the Services or from any funding partner’s decision. Our total liability for any claim relating to the Services will not exceed one hundred U.S. dollars (100 USD).

14Indemnification

You agree to defend and hold harmless Allyabl and its team from claims, losses and costs (including reasonable attorneys’ fees) that arise from information you provided that was false or unauthorized, or from your breach of these Terms.

15Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules, and by applicable federal law. Any dispute will be brought in the state or federal courts located in Miami-Dade County, Florida, and you consent to their jurisdiction.

16Changes and general terms

We may update these Terms from time to time; the “Last updated” date shows the latest version, and continued use means you accept it. If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a term is not a waiver. These Terms and our Privacy Policy are the entire agreement between you and Allyabl about the Services.
